The deal, first reported by The Information and confirmed by CNBC, would push OpenAI’s valuation past $500 billion while requiring the company to use Amazon’s Trainium chips and rent additional data center capacity from AWS. On paper, it’s a strategic masterstroke. In practice, it’s accounting gymnastics that reveals just how fragile the economics of the AI boom have become.

The Circular Firing Squad of AI Finance

Let’s cut through the press release language. OpenAI has already committed to $38 billion in AWS cloud spending over seven years, part of a staggering $1.4 trillion in infrastructure commitments to Nvidia, AMD, Oracle, and others. The problem? OpenAI doesn’t have the cash to honor even a fraction of these deals. As cloud infrastructure investor Charles Fitzgerald bluntly told Fortune, “This is a fake deal. Or, more politely, it’s a framework.”

The mechanics are simple: Amazon moves $10 billion from one column of its balance sheet to another. OpenAI receives “funding” that immediately flows back to AWS as prepaid compute credits. Amazon books $10 billion in “new” cloud revenue, pleasing Wall Street analysts who still judge AWS growth rates as the company’s most important vital sign. OpenAI gets compute without technically spending its own money. Everyone wins on paper.

Except this isn’t venture capital in any traditional sense. It’s vendor financing dressed up as strategic investment. OpenAI isn’t raising money to build a business, it’s raising money to pay its infrastructure bills. And the infrastructure providers, desperate to justify their own massive capital expenditures on data centers and custom silicon, are happy to oblige. As one industry analyst put it: “Companies want to potentially profit from the relationship beyond just a regular business engagement… By making those financial investments, it does inherently increase the risk.”

The risk is real. These circular deals have become standard cost of doing business at the AI frontier, but they’re creating a web of interdependence that could materially change valuation math for everyone involved. When SoftBank and Oracle alone have committed a combined $400 billion to OpenAI’s compute needs, you’ve moved beyond normal supplier relationships into something that looks more like a systemic financial exposure.

What Amazon Actually Buys for $10 Billion

The investment isn’t really about returns. It’s about validation.

Despite being the world’s largest cloud provider, AWS has struggled to position itself as a tier-one player in generative AI. Microsoft locked up OpenAI early with its $13 billion investment, securing exclusive rights to sell OpenAI’s most advanced models to cloud customers until the 2030s. Google built Gemini around its in-house ecosystem. Amazon has been left pitching its custom silicon to a market that views anything not named Nvidia with suspicion.

Amazon has already poured $8 billion into Anthropic, OpenAI’s primary rival. But landing the “Kleenex of AI”, the phrase experts use to describe ChatGPT’s genericized dominance, changes the narrative overnight. If OpenAI publicly uses Trainium chips at scale, it sends a signal to enterprise customers that Amazon’s silicon is safe, viable, and future-proof.

The technical implications matter. Amazon’s latest Trainium 3 chips, unveiled at re:Invent 2025, promise faster AI training at lower cost. But raw performance isn’t the point, availability is. Nvidia’s capacity constraints remain brutal, and Microsoft has first dibs on much of what exists. OpenAI needs compute wherever it can find it. Trainium may not match Nvidia’s H100s on every benchmark, but as Moor Insights analyst Anshel Sag notes, they might be “preferable in commercial contexts” where cost and availability trump absolute performance.

The deal also gives OpenAI leverage. By pulling Amazon deeper into its orbit, it can play suppliers against each other. “They can go back to Nvidia or Microsoft or Oracle and say, ‘If you don’t give us better terms, we’ll just use Amazon,'” Fitzgerald explains. It’s a powerful strategy for a company that paradoxically can’t afford what it’s promising.

The Worst Business in AI

Here’s where the controversy gets spicy. The Amazon deal would primarily cover training workloads, the compute-intensive process of building new models. Fitzgerald calls training clusters “the worst business” for cloud providers: massively expensive to stand up, used intensely for short periods, and constantly made obsolete by the next chip refresh.

The stable, lucrative side, inference, distribution, and ongoing customer interaction, remains firmly in Microsoft’s hands. When users interact with ChatGPT, they’re hitting Microsoft servers. Amazon gets the expensive, temporary workload. Microsoft gets the recurring revenue.

This structural imbalance explains why Amazon needs the investment optics. AWS grew 19% year-over-year in Q3 2025, but Azure’s AI-powered growth continues to outpace it. Wall Street wants to see Amazon with a credible AI story beyond just hosting other people’s models in Bedrock. A $10 billion “investment” in OpenAI creates that narrative, even if the cash immediately circles back.

The $1.4 Trillion Question

OpenAI’s financing scheme works only as long as everyone believes the company is too important to fail. The startup is burning through capital at rates that make WeWork look frugal, but its technology has become foundational to the AI strategies of virtually every Fortune 500 company. That creates a “too big to fail” dynamic where infrastructure providers keep funding the ecosystem just to stay close.

The circular nature doesn’t mean we’re in a bubble, necessarily. There is real demand, real revenue, and genuine scarcity of compute. But there’s also very real excess. When a company commits to $1.5 trillion in infrastructure while simultaneously restructuring to raise more capital, you’re looking at a business model that requires constant inflow of new money to service existing obligations.

The strategic question for Amazon is whether this validates its chip strategy or just makes it a co-dependent in OpenAI’s financing loop. Two years from now, Fitzgerald suggests looking at “how much of that headline number actually turned into AWS revenue.” If the $10 billion investment generates $10 billion in cloud revenue and little else, it’s just creative accounting. If it genuinely diversifies OpenAI’s compute and proves Trainium’s viability for frontier models, it could reshape the AI hardware landscape.

What This Means for the Ecosystem

The deal signals a broader shift in AI power dynamics. OpenAI’s October restructuring, moving to a for-profit model, gave it freedom to partner beyond Microsoft’s 27% stake. The company can now develop products with third parties and use data center capacity from other suppliers. But Microsoft’s exclusive rights to OpenAI’s most advanced models remain intact through the 2030s, creating a bifurcated ecosystem where the best models stay on Azure while everything else gets distributed.

For developers and enterprises, this creates both opportunity and confusion. Amazon Bedrock already offers OpenAI’s open-weight models through a unified API, letting users select the best model for each use case without changing application code. The $10 billion investment would deepen that integration, potentially giving AWS customers earlier access to new capabilities or better economics.

But it also raises questions about vendor lock-in. If your AI strategy depends on a company that’s structurally unable to pay its bills without continuous investment from its suppliers, you’re betting on a house of cards. The circular financing might work during a boom, but any slowdown in AI investment or chip availability could create a cascade of defaults that takes down multiple players.

The Bottom Line: Follow the Money (If You Can)

The Amazon-OpenAI talks expose the uncomfortable truth behind the AI boom: the economics only work if the money never actually leaves the ecosystem. It’s a self-funding loop where cloud providers finance the startups that buy their services, and valuations are justified by commitments that exceed GDP of most countries.

For Amazon, the $10 billion is less an investment than a marketing expense, buying credibility for Trainium and a seat at the AI table. For OpenAI, it’s survival financing that papers over a $1.4 trillion commitment gap. For the rest of us, it’s a reminder that in the gold rush for artificial intelligence, the real winners might be the ones selling pickaxes to each other.

The deal will probably close. Announcements will celebrate the strategic partnership. Press releases will tout innovation and collaboration. But behind the scenes, the same dollars will circulate, the same obligations will grow, and everyone will hope the music doesn’t stop before someone actually builds a profitable AI business.
